1. Agreement Scope

These Terms of Service ("Terms") constitute a legal agreement between VpLab LTD ("VpLab", "we", "us", "our"), a company registered in England and Wales (Company No. 13576060), and any business entity ("Client", "you", "your") accessing this website or engaging our services.

Important: These Terms apply to website usage and general inquiries. Specific service engagements are governed by separate written service agreements that supersede these Terms where applicable.

2. Service Description

2.1 Services Provided

VpLab LTD provides the following B2B services:

  • IP Brokerage: Facilitation of connections between buyers and sellers of IPv4/IPv6 resources under applicable RIR transfer policies
  • RIPE Resource Management: Administrative, operational, and technical services related to RIPE NCC database objects ("RIPE Objects")
  • Transfer Coordination: Documentation workflow management and registry liaison for policy-compliant transfers
  • Consulting: Advisory services on resource strategy, policy compliance, and operational procedures

2.2 Services NOT Provided

VpLab LTD does NOT:

  • Lease, rent, or provide temporary use of IP address space
  • Transfer or assign Internet number resources outside formal RIR procedures
  • Own, hold, or control Internet number resources for distribution
  • Facilitate unauthorized BGP announcements or off-registry resource usage

Clarification: We provide services related to Internet number resources and RIPE Objects. We do not provide the resources themselves.

3. B2B Services Only

All VpLab LTD services are provided exclusively on a business-to-business (B2B) basis. By engaging with us, you represent and warrant that:

  • You are a legally registered business entity
  • You have the authority to bind your organization to these Terms
  • You are engaging our services for business purposes
  • You are not a consumer as defined under UK consumer protection legislation

Consumer rights under the Consumer Rights Act 2015 do not apply to our services.

4. Service Agreements

Specific service engagements require execution of a separate written service agreement that will define:

  • Detailed scope of services and deliverables
  • Fee structure and payment terms
  • Service level agreements (where applicable)
  • Confidentiality obligations
  • Liability limitations and indemnification
  • Term and termination conditions
  • Dispute resolution procedures

Service agreements supersede these general Terms where applicable.

5. Fees and Payment

Unless otherwise specified in a service agreement:

  • Fees are quoted in GBP, USD, or EUR as agreed
  • Payment is due within 30 days of invoice date unless otherwise agreed
  • Late payments may incur interest at 8% above Bank of England base rate
  • All fees are exclusive of VAT (where applicable)
  • Brokerage fees are typically due upon successful transfer completion

6. Client Obligations

Clients engaging our services agree to:

  • Provide accurate, complete, and timely information
  • Comply with applicable RIR policies and regulations
  • Hold necessary authorizations for resources under discussion
  • Respond promptly to information requests
  • Maintain confidentiality of sensitive information shared during engagements
  • Not use our services for unlawful or unauthorized purposes

7. Limitations of Liability

7.1 Disclaimer of Warranties

Services are provided "as is" without warranties of any kind, express or implied. We make no guarantees regarding:

  • RIR approval of transfer requests
  • Availability or pricing of resources
  • Timeline for transfer completion
  • Future RIR policy changes

7.2 Limitation of Damages

To the maximum extent permitted by law, VpLab LTD's total liability for any claims arising from services shall not exceed the fees paid by the Client for the specific service giving rise to the claim. We are not liable for:

  • Indirect, consequential, or incidental damages
  • Loss of profits, revenue, or business opportunities
  • RIR decisions, delays, or policy changes
  • Third-party actions or failures
  • Force majeure events

7.3 Exceptions

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any matter for which it would be unlawful to exclude or limit liability

8. Confidentiality

Both parties agree to maintain confidentiality of non-public information exchanged during engagements. NDA-based engagements may have additional confidentiality provisions. Confidentiality obligations do not apply to information that:

  • Is publicly available or becomes public through no fault of the receiving party
  • Must be disclosed under legal obligation
  • Was already known to the receiving party

9. Intellectual Property

All content on this website, including text, graphics, logos, and documentation templates, is the property of VpLab LTD and protected by copyright and other intellectual property laws. Clients receive a limited license to use our documentation and materials solely for the purpose of the specific engagement.

10. Termination

Either party may terminate a service engagement as specified in the applicable service agreement. Upon termination:

  • Fees for work completed remain due and payable
  • Confidentiality obligations survive termination
  • Client materials will be returned or destroyed as agreed
  • No refunds for services already delivered

11. Governing Law and Jurisdiction

These Terms and any service agreements are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise agreed in writing.

12. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to: acts of God, war, terrorism, pandemic, government actions, RIR service interruptions, or Internet infrastructure failures.

13. Amendments

We may update these Terms from time to time. The "Last Updated" date indicates the most recent version. Continued use of our website after changes constitutes acceptance. Material changes affecting active service agreements will be communicated to affected Clients.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any applicable service agreement and privacy policy, constitute the entire agreement between the parties regarding website usage and general service inquiries.
